Effective Upon Payment or Execution of Agreement

These Terms and Conditions (“Agreement”) govern all services provided by The Business Club Inc. (“TBC Inc.”, “we,” “our,” or “us”), including but not limited to services offered through YourNextLevelGrowth.com. By submitting payment, signing a proposal, or receiving services, the Client (“you,” “your,” or “Client”) agrees to the following terms.

1. Scope of Services

TBC Inc. is a full-spectrum marketing, advertising, and public relations agency. Our services include, but are not limited to:

• Strategic marketing campaigns and consulting
• Advertising (TV, radio, billboard, digital, print)
• Public relations and media outreach
• Website development and SEO
• Branding and logo design
• Funnel and email marketing development
• Social media content creation and campaign management
• Corporate training, culture optimization, and leadership development
• AI voice agent deployment and automation
• Promotional product strategy and design

We may offer additional services as needed, all of which are subject to these Terms unless otherwise specified.

2. Acceptance of Terms

This Agreement becomes effective immediately upon any of the following:

• Payment submission (full or partial)
• Execution of a signed proposal or service agreement
• Commencement of work or project planning

Your engagement signifies full acceptance of these Terms and Conditions.

3. Project Timeline, Revisions, and Completion

Unless otherwise stated in writing:

• Most services have an estimated completion timeline based on project type
• Revisions are limited (typically up to 3 rounds) unless specifically noted
• If Client fails to respond within 10 business days of final delivery, the project is deemed complete
• TBC Inc. is not responsible for ongoing maintenance, updates, or management after the project is delivered unless under a retainer or service extension

4. Client Responsibilities

Client agrees to:

• Provide timely approvals, content, and access to platforms and staff
• Follow strategy timelines and respond promptly to feedback requests
• Maintain access to any third-party tools required for service delivery

Delays due to client inaction may extend timelines without penalty to TBC Inc.

5. Ownership and Licensing

Upon full payment:

• Client receives ownership of final approved deliverables
• TBC Inc. retains rights to all templates, systems, drafts, and proprietary tools
• TBC Inc. reserves the right to showcase work (excluding confidential data) for promotional purposes

6. Platform and Third-Party Tool Usage

We may use third-party platforms (e.g., Google, Facebook, Kajabi, Elementor, Canva, etc.). TBC Inc. is not liable for:

• Platform outages, algorithm changes, or account bans
• Delays due to lack of client access credentials
• Client misuse of any third-party accounts or assets

Client is responsible for maintaining active accounts and complying with third-party terms.

7. Payment Terms

• All services are prepaid or invoiced as agreed
• Monthly retainers are billed in advance and must be paid on time
• One-time services are non-refundable after work has started
• Ongoing late payments may result in service suspension or termination

8. Cancellation Policy

For monthly marketing programs and long-term service engagements, the following terms apply:

• A minimum of 60 days written notice is required to cancel
• Cancellations do not apply mid-month; billing continues for the full calendar month in which notice is received
• Client will be billed for the following two full months after written cancellation notice is received
• This policy exists because resources, staff, and campaign strategies are committed well in advance
• No refunds or pro-rated cancellations will be issued for these services

Other one-time or short-term services may have different cancellation policies as outlined in their specific agreement.

9. Performance Disclaimer

TBC Inc. provides professional strategies and execution, but cannot guarantee specific business outcomes such as:

• Sales increases
• Lead quantity or conversion
• Media placements unless prepaid
• SEO rank improvement within a set time frame

Success depends on market conditions, internal client execution, and uncontrollable factors. TBC Inc. assumes no liability for unmet business goals unless resulting from proven gross negligence.

10. Confidentiality

We maintain full confidentiality over sensitive data, employee feedback, financials, and platform credentials. The Client agrees not to distribute or reproduce proprietary tools, scripts, branding, or training materials.

11. Marketing Expense Disclosure

• All advertising expenses are billed separately unless explicitly included in writing
• TV promotion packages may include limited airtime (e.g., up to $1,000/month); all other media or ad spend is the Client’s responsibility
• We manage strategy and placement — the Client controls the budget
• TBC Inc. is not responsible for ROI on paid ad spend unless under a written performance contract

12. Warranty and Limitation of Liability

TBC Inc. offers services “as is” and disclaims all warranties, including implied success, profitability, or outcome projections.

We are not responsible for:

• Negative business outcomes due to implementation
• Internal mismanagement or misuse of services delivered
• Loss of access to platforms or domain accounts
• Technical issues beyond our control after handoff (e.g., hosting errors, expired domains)

Total liability is limited to the amount paid for the specific service rendered.

13. Indemnification

Client agrees to indemnify and hold harmless TBC Inc., its officers, contractors, and partners against all liabilities or claims arising from:

• Client misrepresentation or unlawful business practices
• Content or campaigns executed under Client direction
• Platform violations or data breaches resulting from Client negligence
• Any third-party claims related to the use of materials or strategies provided

14. Right to Modify Services

TBC Inc. reserves the right to enhance, upgrade, or discontinue specific service offerings or components as needed for quality, compliance, or strategic reasons. Updates to service offerings will not impact existing service agreements unless formally modified.

15. Governing Law & Jurisdiction

This Agreement is governed by the laws of the Commonwealth of Virginia. All disputes shall be resolved exclusively in the courts located in Chesapeake, VA.

16. Agreement Acknowledgement

These Terms and Conditions represent the entire agreement between the Client and TBC Inc. and override any prior verbal or written communications.

By submitting payment, signing an agreement, or receiving services from TBC Inc., you acknowledge and accept these Terms and Conditions in full.
